Consumer Terms and Conditions
1. Scope and definitions
These terms and conditions apply to contracts between Vebelio, operated by Matthias Stein-Schilling, Hallig-Hooge-Stieg 12, 22846 Norderstedt, Germany ("Vebelio", "we" or "us"), and consumers ("you") regarding use of the Vebelio platform and digital content and digital services offered by us.
A consumer is any natural person entering into a legal transaction for purposes that are predominantly outside that person's trade, business or self-employed professional activity.
For offers by independent companies, coaches or experts on the platform, the provider identified with the relevant offer is your contractual partner. That provider's offer description, provider identification, terms, privacy notice and withdrawal information take precedence for that offer. Where we are a contractual partner for the technical platform, these terms govern only that use.
2. Platform and user account
Vebelio enables, in particular, registration, access to member areas, community features, live calls, digital content and the booking of offers. There is no entitlement to registration or to the continued provision of free features.
Certain features require a user account. You must provide accurate and complete registration details, promptly update changes and keep your login credentials confidential. You may not transfer your account or make it available to others.
3. Formation of contract
Unless expressly stated otherwise, the presentation of an offer is an invitation to place an order. You make a binding offer when you complete the ordering process and select the button that is clearly labelled as creating a payment obligation.
A contract is formed when we or the provider identified for the offer expressly accept the order, activate access or provide the service. An automatic acknowledgement only confirms receipt of your order unless it expressly states acceptance.
Before placing an order, you may review and correct input errors using the steps provided. The contract language is German; where an English version is displayed, communication may additionally take place in English. The contract text and document versions applicable to your order are stored as required by law and, where technically provided, are accessible in your user account or through the confirmation record.
4. Prices, payment and invoices
The prices, term, payment conditions and scope of services shown in the ordering process apply to paid offers. Consumer prices include statutory VAT where applicable. Any additional costs are shown before you place the order.
Available payment methods are shown during checkout. Payment may be processed by the payment service provider displayed for the transaction. For third-party offers, the provider identified for the offer may be the payee and invoice issuer.
We or the relevant provider may withhold access to paid services until payment is successful where this is provided for in the offer and legally permissible. If payment fails or is reversed, access to the affected paid service may be suspended until the matter is resolved. Statutory rights remain unaffected.
5. Subscriptions and cancellation
The term, renewal, price per billing period and cancellation conditions of a subscription are stated in the relevant offer and checkout. Renewal occurs only under the conditions clearly disclosed there.
You may cancel a consumer subscription using the legally required electronic cancellation mechanism where it applies to the relevant contract. Following effective cancellation, access continues until the end of a paid service period unless the offer or mandatory law provides otherwise.
6. Digital content and digital services
Digital content may include texts, analyses, videos, audio, courses, files, PDFs or posts. Digital services may include platform, community, member-area or live-call features. They are provided through your user account, by stream, download or another electronic means.
Where a contract for digital content or digital services is performed before the withdrawal period ends, performance begins only after you have given the express consent and acknowledgement required by law in checkout. The separate withdrawal notice remains decisive.
7. Changes and availability
We endeavour to provide a reliable platform, but do not owe uninterrupted or fault-free availability. Restrictions may arise from maintenance, security measures, technical faults, network or third-party failures, force majeure or necessary further development.
We may change digital content and digital services where there is a valid reason, the change is communicated to you without additional cost and the statutory requirements are met. If a change materially impairs access or usability, we will notify you in time about any statutory right to terminate the contract.
We may reasonably change, restrict or discontinue free content and features, provided acquired paid rights and mandatory law are respected.
8. Rights of use and prohibited use
You receive a simple, non-exclusive, non-transferable right to use digital content made available to you for your own private purposes and, unless otherwise stated, only for the contract term. Copyright and other rights remain with the relevant rights holders.
Without prior consent, you must not distribute, publish, sell, rent, make publicly available, systematically copy, automatically extract, upload to other platforms or remove copyright or source notices from content.
You must not misuse the platform. This includes attacks on infrastructure, circumventing access restrictions, using third-party credentials, automated scraping, spam, disrupting other users and posting unlawful content.
9. User content and community
If you post content such as posts, comments, messages or files, you are responsible for its lawfulness. You must not post unlawful, abusive, discriminatory, misleading, privacy-infringing or third-party-rights-infringing content.
Where there are concrete indications of a legal infringement, misuse or security risk, we may temporarily restrict the affected content or access. For minor breaches, where reasonable, we will inform you before permanently suspending or terminating access and give you an opportunity to comment. Mandatory legal obligations and rights remain unaffected.
10. Third-party content and trading risks
Independent providers, coaches and experts are responsible for their own identifiable content and offers. We do not guarantee the accuracy, completeness, timeliness or suitability of third-party content unless we have our own legal responsibility.
Content relating to finance, stock markets, trading, securities, derivatives or crypto-assets is for information and education only. It is not individual investment, financial, tax or legal advice, nor an invitation to buy or sell financial instruments. You make trading and investment decisions at your own responsibility. There is a risk of losing all capital invested.
11. Statutory rights and liability
Statutory rights in the event of defects apply, including the statutory provisions for digital products and digital services.
We are liable without limitation for intent, gross negligence and injury to life, body or health. In the event of a slightly negligent breach of an essential contractual obligation, our liability is limited to the foreseeable damage typical for the contract. Essential contractual obligations are obligations whose performance makes proper performance of the contract possible in the first place and on whose compliance you may regularly rely.
Liability under the German Product Liability Act and mandatory statutory provisions remain unaffected.
12. Withdrawal
Consumers generally have a statutory right of withdrawal. Details, including the model withdrawal form, are set out in the separate withdrawal notice made available before the contract is concluded and with the order.
13. Privacy and communications
Information about the processing of personal data is available in our privacy notice. Third-party offers may also be subject to their provider's privacy information.
Contract-related communications are generally electronic, including by email, through your user account or within the platform. Please keep your email address current.
14. Applicable law and consumer dispute resolution
German law applies. Mandatory consumer-protection provisions of the country in which you have your habitual residence remain unaffected.
We are neither obliged nor willing to participate in dispute-resolution proceedings before a consumer arbitration board unless a legal obligation applies. Before publication, this statement must be checked against the actual legal requirements, including Section 36 of the German Consumer Dispute Resolution Act (VSBG).
15. Changes to these terms
Changes to these terms for existing contractual relationships will be made only where legally permitted. We will notify you in text form in good time of a change, its effective date and, where applicable, any right to object or terminate. The version incorporated when an individual order is placed applies to that order.
16. Final provisions
If any provision of these terms is or becomes wholly or partially ineffective, the validity of the remaining provisions is unaffected. Statutory provisions apply in place of the ineffective provision.
